New York, Sept. 03, 2025 (GLOBE NEWSWIRE) — Univest Securities, LLC (\u201cUnivest\u201d), a member of FINRA and SIPC, and a full-service investment bank and securities broker-dealer firm based in New York, today announced the closing of registered direct offering (the \u201cOffering\u201d) for its client Next Technology Holding Inc. (NASDAQ: NXTT) (the \u201cCompany\u201d), a technology company built on a dual-engine strategy of \u201cAI plus digital assets.\u201d<\/p>\n

Under the terms of the securities purchase agreement, the Company has agreed to sell to one investor an aggregate of 60,000,000 of the Company\u2019s common stock, no par value (the \u201cShares\u201d) (or pre-funded warrants in lieu thereof) at a purchase price of $0.15 per share in a registered direct offering. The purchase price for the pre-funded warrants is identical to the purchase price for Shares, less the exercise price of $0.001 per share.<\/p>\n

The aggregate gross proceeds to the Company of this offering were approximately $9 million.<\/p>\n
