(NYSE: SLGN), a leading supplier of sustainable rigid packaging solutions for the world&#8217;s essential consumer goods products, announced today that it priced its previously announced private offering of new senior unsecured notes. Silgan announced that it entered into an agreement to sell \u20ac600 million aggregate principal amount of its new 4\u00bc% Senior Notes due 2031 at 100 percent of their principal amount. The new notes will mature on February 15, 2031, and interest on the new notes will be payable semi-annually on February 15 and August 15 of each year, commencing on February 15, 2026. The new notes will be guaranteed by the U.S. subsidiaries of Silgan that guarantee obligations under Silgan\u2019s senior secured credit facility and existing senior secured and unsecured notes. Silgan intends to use the net proceeds from the notes to repay outstanding revolving loans under its senior secured credit facility and for other general corporate purposes.<\/p>\n<p>\nThe notes being offered by Silgan will not be registered under the Securities Act of 1933, as amended, or the Securities Act, or under any state securities law and may not be offered or sold in the United States absent registration or an applicable exemption from registration under the Securities Act and applicable state securities laws. The notes will be offered only to qualified institutional buyers under Rule 144A and outside the United States in compliance with Regulation S under the Securities Act. Any stabilization action may begin on or after the date on which adequate public disclosure of the terms of the offer of the notes is made and, if begun, may be ended at any time, but it must end no later than 30 calendar days after the date on which Silgan receives the proceeds from the issuance of the notes or no later than 60 calendar days after the date of allotment of the notes, whichever is the earlier.
