(NYSE: NYC) (\u201cASIC\u201d or the \u201cCompany\u201d) announced today that on August 26, 2025, the Company received a written notice (the \u201cNotice\u201d) from the New York Stock Exchange (\u201cNYSE\u201d) that the Company did not presently satisfy the NYSE\u2019s continued listing standards under Section 802.01B of the NYSE Listed Company Manual (the \u201cManual\u201d), which requires the Company\u2019s 30-trading day average market capitalization to be not less than $50 million and the Company\u2019s stockholders\u2019 equity to be not less than $50 million. As set forth in the Notice, as of August 25, 2025, the Company\u2019s 30-trading day average market capitalization was approximately $34.3 million and the Company\u2019s last reported stockholders\u2019 equity as of June 30, 2025 was approximately $35.5 million.<\/p>\n<p>\nIn accordance with applicable NYSE procedures, within 45 days from receipt of the Notice, the Company must submit to NYSE a business plan that demonstrates compliance with Section 802.01B of the Manual within 18 months of receipt of the Notice. The Listing Operations Committee of NYSE will review the business plan and will either accept the plan, at which time the Company will be subject to ongoing quarterly monitoring for compliance with the business plan, or reject it, at which time the Company will be subject to suspension and delisting proceedings. The Company is working to submit to NYSE a business plan within the 45 calendar-day-period described above.<\/p>\n<p>\nThe Notice has no immediate effect on the listing of the Company\u2019s Class A common stock, which will continue to be listed and traded on NYSE during the cure periods outlined above, subject to the Company\u2019s compliance with other NYSE continued listing requirements.
