(“New Found Gold<\/b>” or the “Company<\/b>“) (TSXV: NFG) (NYSE-A: NFGC) is pleased to welcome Tamara Brown<\/span> to its board of directors (the “Board<\/b>“). Following the Annual General and Special Meeting of the shareholders of New Found Gold (the “Shareholders<\/b>“) held in Vancouver, BC<\/span>, on August 20, 2025<\/span> (the “Meeting<\/b>“), the Board now comprises Paul Huet<\/span>, Keith Boyle<\/span>, William Hayden<\/span>, Vijay Mehta<\/span>, Melissa Render<\/span>, Chad Williams<\/span> and Tamara Brown<\/span>.<\/p>\n

At the Meeting, disinterested Shareholders voted in favour of an ordinary resolution to approve the creation of Mr. Eric Sprott<\/span> as a new “Control Person” (as defined by the policies of the TSX Venture Exchange (the “TSXV<\/b>“)). It is anticipated that Mr. Sprott will become a new Control Person upon closing of the previously announced non-brokered private placement of up to 12,269,939 common shares (the “Common Shares<\/b>“) at a price of C$1.63<\/span> per Common Share for gross proceeds of approximately C$20 million<\/span> (the “Private Placement<\/b>“). The Private Placement is anticipated to close by August 27<\/span>, 2025,\u00a0subject to final approval of the TSXV and authorization of the NYSE American LLC (the “NYSE American<\/b>“).<\/p>\n
