(NASDAQ: ACDC) (\u201cProFrac\u201d or the \u201cCompany\u201d) today announced the pricing of its previously announced underwritten public offering of 18,750,000 shares of its Class A common stock (the \u201cOffering\u201d) at a price to the public of $4.00 per share, for gross proceeds of approximately $75.0 million before deducting the underwriting discount and other estimated offering expenses.<\/p>\n<p>\nThe Company has granted the underwriters a 30-day option to purchase up to an additional $11,250,000 of its Class A common stock. The Offering is expected to close on or about August 14, 2025, subject to customary closing conditions.<\/p>\n<p>\nThe Company intends to use the net proceeds from the Offering to repay borrowings outstanding under the Company\u2019s senior secured asset-based revolving credit agreement, to pursue potential investment opportunities and for working capital and other general corporate purposes.<\/p>\n<p>\nJ.P.
