(\u201cPayoneer\u201d or the \u201cCompany\u201d) (NASDAQ: PAYO), the global financial technology company powering business growth across borders, today announced that the Company\u2019s 2025 Annual Meeting of Stockholders (the \u201cMeeting\u201d) was convened on June 10, 2025, at 8:00 a.m. (Eastern Time) and was adjourned with respect to the proposal to begin a process to declassify the board of directors of the Company (identified as Proposal 4 in the Proxy Statement (defined below)) and the proposal that would allow stockholders to amend the Company\u2019s bylaws and approve amendments to the Company\u2019s certificate of incorporation with a simple majority vote (identified as Proposal 5 in the Proxy Statement). The Company will announce the results concerning the other proposals presented at the Meeting in a Current Report on Form 8-K to be filed with the U.S. Securities and Exchange Commission (the \u201cSEC\u201d).<\/p>\n<p>\nThe Meeting was adjourned with respect to Proposals 4 and 5 to allow additional time for stockholders to submit proxies on Proposals 4 and 5, which are set forth in the Company\u2019s definitive proxy statement filed with the SEC on April 28, 2025 (the \u201cProxy Statement\u201d).<\/p>\n<p>\nThe Meeting will reconvene with respect to Proposals 4 and 5 on June 16, 2025, at 8:30 a.m. (Eastern Time) virtually at <a rel=\"nofollow\" href=\"https:\/\/cts.businesswire.com\/ct\/CT?id=smartlink&amp;url=http%3A%2F%2Fwww.virtualshareholdermeeting.com%2FPAYO2025&amp;esheet=54271810&amp;newsitemid=20250609375391&amp;lan=en-US&amp;anchor=www.virtualshareholdermeeting.com%2FPAYO2025&amp;index=1&amp;md5=d2b593eefdc10b47d48e96ee012b7ce2\">www.virtualshareholdermeeting.com\/PAYO2025<\/a>.
