SAN FRANCISCO–(BUSINESS WIRE<\/a>)–
\nGrove Collaborative Holdings, Inc. (NYSE: GROV) (\u201cGrove\u201d or \u201cthe Company\u201d), reports that, on May 15, 2025, it received written notice (the \u201cNYSE Notice\u201d) from the New York Stock Exchange (\u201cNYSE\u201d) of non-compliance with Section 802.01B of the NYSE Listed Company Manual (the \u201cNYSE Manual\u201d), which requires an average global market capitalization of not less than $50 million over a consecutive 30 trading-day period and stockholders\u2019 equity of not less than $50 million.\n<\/p>\n

\nPursuant to the NYSE Notice, the Company is subject to the procedures set forth in Sections 801 and 802 of the NYSE Manual and must submit a business plan within 45 days of receipt of the NYSE Notice that demonstrates how the Company expects to return to compliance with this continued listing standard within 18 months of receipt of the NYSE Notice (the \u201cCure Period\u201d). Pursuant to applicable NYSE rules, the NYSE will review the plan and, within 45 days of its receipt, determine whether the Company has made a reasonable demonstration of an ability to conform to the relevant standards in the Cure Period.\n<\/p>\n

\nThe NYSE Notice has no immediate impact on the listing of the Company\u2019s Class A common stock. If the NYSE accepts the plan, the Company\u2019s Class A common stock will continue to be listed and traded on the NYSE during the Cure Period, subject to the Company\u2019s compliance with the other continued listing standards of the NYSE and continued periodic review by the NYSE of the Company\u2019s progress with respect to its plan. If the plan is not submitted on a timely basis or is not accepted by the NYSE, the NYSE could initiate delisting proceedings.\n<\/p>\n
