(Nasdaq: STAI) (the \u201cCompany\u201d or \u201cScanTech AI\u201d), a leading publicly-traded innovator of next-generation checkpoint security scanning products and technology, today announced that the Company received a letter from Nasdaq, dated April 17, 2025, stating that the Company is not in compliance with the requirements of Nasdaq Listing Rule 5250(c)(1) as a result of not having timely filed with the U.S. Securities and Exchange Commission its Annual Report on Form 10-K for the year ended December 31, 2024 (the \u201cAnnual Report\u201d). The Notice has no immediate effect on the listing of the Company\u2019s common stock on The Nasdaq Global Market. <\/p>\n<p>The Notice stated that the Company has 60 calendar days to submit a plan to regain compliance. The Company intends to file the Annual Report as soon as practicable and, if necessary, to submit a plan with Nasdaq to regain compliance. If the Company submits a plan and Nasdaq accepts the plan, Nasdaq can grant an exception of up to 180 calendar days from the Annual Report\u2019s due date, or until October 13, 2025, to regain compliance with Nasdaq Listing Rule 5250(c)(1). If Nasdaq does not accept the Company\u2019s plan, the Company would have the opportunity to appeal that decision to a Nasdaq Hearings Panel.<\/p>\n<p>The Company is finalizing its Annual Report and intends to resolve the deficiency and regain compliance with the listing requirement on or before May 5th, 2025.<\/p>\n<p>\n        <b>About ScanTech AI Systems, Inc.
