\n <\/span>, March 25, 2025<\/span><\/span> \/PRNewswire\/ — Telefonaktiebolaget LM Ericsson (NASDAQ: ERIC) (the “Company”) held its Annual General Meeting (“AGM”) today on March 25, 2025<\/span> in Kista, Stockholm<\/span>. Shareholders were also able to exercise their voting rights by post before the meeting.<\/p>\n

\n Adoption of the Income Statements and the Balance Sheets<\/b>\n <\/p>\n

The AGM resolved to adopt the Income Statement and the Balance Sheet for the Company as well as the Consolidated Income Statement and the Consolidated Balance Sheet for the Group for 2024.<\/p>\n

\n Dividend<\/b>\n <\/p>\n

The proposed dividend of SEK 2.85<\/span> per share was approved by the AGM. The dividend will be paid in two installments: SEK 1.43<\/span> per share with the record date Thursday, March 27, 2025<\/span>, and SEK 1.42<\/span> per share with the record date Monday, September 29, 2025<\/span>. Euroclear Sweden AB is expected to disburse SEK 1.43<\/span> per share on Tuesday, April 1, 2025<\/span>, and SEK 1.42<\/span> per share on Thursday, October\u00a02, 2025.<\/p>\n

\n Remuneration report<\/b>\n <\/p>\n

The AGM resolved to adopt the Board of Directors’ remuneration report for 2024.<\/p>\n

\n Discharge from liability<\/b>\n <\/p>\n

The members of the Board and the President were discharged from liability for the financial year 2024.<\/p>\n

\n Board of Directors<\/b>\n <\/p>\n

The AGM elected Board members in accordance with the proposal of the Nomination Committee. Jan Carlson<\/span> was re-elected as Chair of the Board and Jon Fredrik Baksaas, B\u00f6rje Ekholm, Eric A. Elzvik, Kristin S. Rinne<\/span>, Jonas Synnergren, Jacob Wallenberg<\/span>, Christy Wyatt<\/span> and Karl \u00c5berg were re-elected as Board members. Christian Cederholm<\/span> and Marachel Knight<\/span> were elected as new Board members. It was also noted that the unions have appointed Ulf\u00a0Rosberg, Annika Salomonsson<\/span> and Kjell-\u00c5ke Soting as employee representatives in the Board of Directors with Frans\u00a0Frejdestedt, Loredana\u00a0Roslund and Stefan W\u00e4nstedt as deputies.<\/p>\n

\n Board of Directors’ Fees<\/b>\n <\/p>\n

The AGM resolved on fees to the Board of Directors, in accordance with the Nomination Committee’s proposal, entailing a yearly fee of SEK 5,000,000<\/span> to the Chair of the Board, and fees of SEK 1,300,000<\/span> to each of the other non-employee members of the Board, elected by the AGM. Fees for Committee work to non-employee members of the Committees, elected by the AGM, were approved as follows: SEK 560,000<\/span> to the Chair of the Audit and Compliance Committee and SEK\u00a0320,000 to each of the other members of the Audit and Compliance Committee, SEK 235,000<\/span> to the Chair of the Enterprise Business and Technology Committee and SEK\u00a0205,000 to each of the other members of the Enterprise Business and Technology Committee, SEK\u00a0225,000 to each of the Chairs of the Finance Committee and the Remuneration Committee, and SEK\u00a0200,000 to each of the other members of the Finance Committee and the Remuneration Committee.<\/p>\n

The AGM approved the Nomination Committee’s proposal that part of the fees to the members of the Board, in respect of their Board assignment (excluding fees for Committee work), may be paid in the form of synthetic shares.<\/p>\n

In addition to the fees described above, the AGM resolved, in accordance with the Nomination Committee’s proposal, that additional compensation be paid to non-employee Board members elected by the AGM for each physical Board meeting attended in Sweden<\/span> as follows:<\/p>\n
