Shareholders were also able to exercise their voting rights by post before the meeting.<\/p>\n<p>\n        <b>Adoption of the Income Statements and the Balance Sheets<\/b>\n      <\/p>\n<p>The AGM resolved to adopt the Income Statement and the Balance Sheet for the Company as well as the Consolidated Income Statement and the Consolidated Balance Sheet for the Group for 2024.<\/p>\n<p>\n        <b>Dividend<\/b>\n      <\/p>\n<p>The proposed dividend of <span class=\"xn-money\">SEK 2.85<\/span> per share was approved by the AGM. The dividend will be paid in two installments: <span class=\"xn-money\">SEK 1.43<\/span> per share with the record date <span class=\"xn-chron\">Thursday, March 27, 2025<\/span>, and <span class=\"xn-money\">SEK 1.42<\/span> per share with the record date <span class=\"xn-chron\">Monday, September 29, 2025<\/span>. Euroclear Sweden AB is expected to disburse <span class=\"xn-money\">SEK 1.43<\/span> per share on <span class=\"xn-chron\">Tuesday, April 1, 2025<\/span>, and <span class=\"xn-money\">SEK 1.42<\/span> per share on Thursday, October\u00a02, 2025.<\/p>\n<p>\n        <b>Remuneration report<\/b>\n      <\/p>\n<p>The AGM resolved to adopt the Board of Directors&#8217; remuneration report for 2024.<\/p>\n<p>\n        <b>Discharge from liability<\/b>\n      <\/p>\n<p>The members of the Board and the President were discharged from liability for the financial year 2024.<\/p>\n<p>\n        <b>Board of Directors<\/b>\n      <\/p>\n<p>The AGM elected Board members in accordance with the proposal of the Nomination Committee. <span class=\"xn-person\">Jan Carlson<\/span> was re-elected as Chair of the Board and Jon Fredrik Baksaas, B\u00f6rje Ekholm, Eric A. Elzvik, <span class=\"xn-person\">Kristin S. Rinne<\/span>, Jonas Synnergren, <span class=\"xn-person\">Jacob Wallenberg<\/span>, <span class=\"xn-person\">Christy Wyatt<\/span> and Karl \u00c5berg were re-elected as Board members. <span class=\"xn-person\">Christian Cederholm<\/span> and <span class=\"xn-person\">Marachel Knight<\/span> were elected as new Board members. It was also noted that the unions have appointed Ulf\u00a0Rosberg, <span class=\"xn-person\">Annika Salomonsson<\/span> and Kjell-\u00c5ke Soting as employee representatives in the Board of Directors with Frans\u00a0Frejdestedt, Loredana\u00a0Roslund and Stefan W\u00e4nstedt as deputies.<\/p>\n<p>\n        <b>Board of Directors&#8217; Fees<\/b>\n      <\/p>\n<p>The AGM resolved on fees to the Board of Directors, in accordance with the Nomination Committee&#8217;s proposal, entailing a yearly fee of <span class=\"xn-money\">SEK 5,000,000<\/span> to the Chair of the Board, and fees of <span class=\"xn-money\">SEK 1,300,000<\/span> to each of the other non-employee members of the Board, elected by the AGM. Fees for Committee work to non-employee members of the Committees, elected by the AGM, were approved as follows: <span class=\"xn-money\">SEK 560,000<\/span> to the Chair of the Audit and Compliance Committee and SEK\u00a0320,000 to each of the other members of the Audit and Compliance Committee, <span class=\"xn-money\">SEK 235,000<\/span> to the Chair of the Enterprise Business and Technology Committee and SEK\u00a0205,000 to each of the other members of the Enterprise Business and Technology Committee, SEK\u00a0225,000 to each of the Chairs of the Finance Committee and the Remuneration Committee, and SEK\u00a0200,000 to each of the other members of the Finance Committee and the Remuneration Committee.<\/p>\n<p>The AGM approved the Nomination Committee&#8217;s proposal that part of Compensation Program 2025 (LTV 2025)<\/i>\n      <\/p>\n<p>The AGM resolved to approve the Board of Directors&#8217; proposal on:<\/p>\n<ul type=\"disc\">\n<li>implementation of LTV 2025 for the Executive Team, including the President and CEO, and for employees classified as Executives, (currently approximately 200 employees), comprising a maximum of 12.7 million B-shares in\u00a0Ericsson. &#8220;Performance Share Awards&#8221; will be granted free of charge entitling the participant to receive a number of shares, free of charge, following the expiration of a three-year vesting period, provided that certain performance conditions are met and that the participant retains his or her employment.
