(NYSE: KNTK) (\u201c<b>Kinetik<\/b>\u201d) today announced that its subsidiary, Kinetik Holdings LP (the \u201c<b>Issuer<\/b>\u201d), has priced its previously announced offering of $250 million 6.625% sustainability-linked senior notes due 2028 (the \u201c<b>New Notes<\/b>\u201d) at 101.25% of par, plus accrued and unpaid interest from December 15, 2024 (the \u201c<b>Offering<\/b>\u201d). The New Notes mature on December 15, 2028, pay interest at the rate of 6.625% per year and are payable on June 15 and December 15 of each year. The first interest payment with respect to the New Notes will be made on June 15, 2025. The New Notes are fully and unconditionally guaranteed by Kinetik.\n<\/p>\n<p>\nThe Issuer intends to use the net proceeds of the Offering for general corporate purposes, including the repayment of a portion of the borrowings outstanding under its revolving credit facility and to pay related fees and expenses. The Offering is expected to close on March 19, 2025, subject to customary closing conditions.\n<\/p>\n<p>\nThe New Notes are being offered as additional notes under the indenture dated as of December 6, 2023, as may be supplemented from time to time (the \u201c<b>Indenture<\/b>\u201d), pursuant to which the Issuer has previously issued $800 million aggregate principal amount of 6.625% Sustainability-Linked Senior Notes due 2028 (the \u201c<b>Existing Notes<\/b>\u201d, and together with the New Notes, the \u201c<b>2028 Notes<\/b>\u201d). The New Notes will have substantially identical terms, other than the issue date and issue price, as the Existing Notes, as the New Notes and the Existing Notes will be treated as a single series of Securities under the Indenture and will vote together as a single class.\n<\/p>\n<p>\nThe interest rate on the 2028 Notes is linked to Kinetik\u2019s performance against certain targets, which are set forth in the Sustainability-Linked Financing Framework (the \u201c<b>Framework<\/b>\u201d) published by Kinetik on May 16, 2022.
