(&#8220;Oaktree&#8221;), the announcement on <span class=\"xn-chron\">January 28, 2025<\/span> of the appointment of Dr. <span class=\"xn-person\">David Wheadon<\/span> as Chair of the Company, the announcement on <span class=\"xn-chron\">February 3, 2025<\/span> of the appointment of Daniel Ninivaggi as an Independent Non-Executive Director of the Company, and the announcement on <span class=\"xn-chron\">February 27, 2025<\/span> of the appointment of <span class=\"xn-person\">Joe Ciaffoni<\/span> as Chief Executive Officer of the Company, and following further discussions with Oaktree, the Company has agreed to make certain further changes to its Board of Directors (the &#8220;Board&#8221;):<\/p>\n<div class=\"PRN_ImbeddedAssetReference\" id=\"DivAssetPlaceHolder1\">\n<p>\n          <a href=\"https:\/\/mma.prnewswire.com\/media\/1814851\/Indivior_Logo.html\" target=\"_blank\" rel=\"nofollow\"><br \/>\n            <img decoding=\"async\" src=\"https:\/\/mma.prnewswire.com\/media\/1814851\/Indivior_Logo.jpg\" title=\"Indivior (PRNewsfoto\/Indivior)\" alt=\"Indivior (PRNewsfoto\/Indivior)\" \/><br \/>\n          <\/a>\n        <\/p>\n<\/p><\/div>\n<ul type=\"disc\">\n<li>The Company will reduce the size of its Board to seven directors as of the 2025 Annual General Meeting (&#8220;AGM&#8221;), each of whom will stand for re-election at the upcoming AGM;<\/li>\n<li>Consistent with the Company&#8217;s switch to a US primary listing in 2024, <span class=\"xn-person\">Peter Bains<\/span> and Jo LeCouilliard have decided not to stand for re-election at the AGM;<\/li>\n<li>Robert Schriesheim has stepped down as an Independent Non-Executive Director effective from <span class=\"xn-chron\">March 2, 2025<\/span>;<\/li>\n<li>The Company will commence a search for one new Independent Non-Executive Director, the identity of whom shall be subject to Oaktree&#8217;s approval, and whose appointment shall be confirmed by <span class=\"xn-chron\">July 1, 2025<\/span>, failing which Oaktree will have the ability to nominate a further Non-Executive Director to the Board.
