\nBlackRock Municipal Income Fund, Inc. (NYSE: MUI, the \u201cFund\u201d) is providing additional information related to the Fund\u2019s upcoming conversion from an exchange-listed closed-end fund to an unlisted continuously-offered closed-end fund that conducts quarterly repurchases of its shares (the \u201cConversion\u201d) and will operate under the name BlackRock Municipal Credit Alpha Portfolio, Inc. (the \u201cInterval Fund\u201d).<\/p>\n

\nToday, the Board of Directors of MUI, (the \u201cBoard\u201d) approved a repurchase schedule for calendar year 2025. In addition, the Board approved an initial repurchase amount of 15% of the Interval Fund\u2019s outstanding shares for the first quarterly repurchase offer, to be conducted in Q2 2025.<\/p>\n

Q2 2025 Repurchase Amount<\/span><\/b><\/p>\n

\nThe Board approved an initial repurchase amount of 15% of outstanding shares of the Interval Fund, as of 5\/30\/2025. The repurchase price will be 100% of the NAV on 5\/30\/2025.<\/p>\n

Portfolio Realignment in Advance of the Conversion<\/span><\/b><\/p>\n

\nAs previously announced, it is currently anticipated that the Conversion will take place after the close of business on March 21, 2025, and be effective on March 24, 2025 (the \u201cConversion Date\u201d). In connection with the Conversion, the Fund intends to begin transitioning its portfolio to align with the Interval Fund\u2019s investment strategies beginning on March 3, 2025.<\/p>\n

The Conversion Date is subject to change, and any such change will be announced via press release.<\/b><\/p>\n

Important Notice to Shareholders Who Hold Shares Through a Financial Intermediary<\/span><\/b><\/p>\n

\nFollowing the Conversion, the Interval Fund will offer one or more classes of shares through select financial intermediaries.
