(the \u201cCompany\u201d), a special purpose acquisition company formed for the purpose of entering into a combination with one or more businesses or entities, priced its initial public offering of 20,000,000 units at a price of $10.00 per unit. The units will be listed on the New York Stock Exchange and trade under the ticker symbol \u201cRAC.U\u201d with trading expected to begin on February 27, 2025. Each unit consists of one Class A ordinary share of the Company and one-third of one redeemable warrant. Each whole warrant entitles the holder thereof to purchase one Class A ordinary share of the Company at a price of $11.50 per share, subject to adjustment. Once the securities comprising the units begin separate trading, the Class A ordinary shares and warrants are expected to be listed on the New York Stock Exchange under the symbols \u201cRAC\u201d and \u201cRAC.WS,\u201d respectively.<\/p>\n<p>\nThe offering is expected to close on February 28, 2025, subject to customary closing conditions.<\/p>\n<p>\nCitigroup Global Markets Inc., BTIG, LLC and UBS Investment Bank are serving as the joint book-running managers for the offering.
