Trading in the Company\u2019s securities was suspended immediately after market close on December 13, 2024. Following suspension of trading on NYSE, the Company\u2019s units, Class A ordinary shares and warrants will be eligible to trade on the OTC Markets under the ticker symbols \u201cWELUF,\u201d \u201cWELNF,\u201d and \u201cWELWF,\u201d respectively. The NYSE will apply to the Securities and Exchange Commission to delist the Company\u2019s securities upon completion of all applicable procedures, including any appeal by the Company of the NYSE Regulation staff\u2019s decision.<\/p>\n<p align=\"justify\">As indicated in the letter, the Company has the right to request that NYSE\u2019s delisting determination be reviewed by a Committee of the Board of Directors of the NYSE, which the Company may pursue. \u00a0<\/p>\n<p align=\"justify\">The delisting process does not affect the Company\u2019s business operations.
