(the \u201cCompany\u201d) announced today the pricing of its initial public offering of 21,000,000 units at a price of $10.00 per unit. The units are expected to be listed on The Nasdaq Stock Market LLC (\u201cNasdaq\u201d) and begin trading tomorrow, December 13, 2024, under the ticker symbol \u201cMLACU.\u201d Each unit consists of one Class A ordinary share and one right. Each right entitles the holder thereof to receive one-tenth (1\/10) of one Class A ordinary share upon the consummation of an initial business combination. A right holder must hold ten rights to receive one Class A ordinary share at the closing of the initial business combination. Once the securities constituting the units begin separate trading, the Class A ordinary shares and rights are expected to be listed on Nasdaq under the symbols \u201cMLAC\u201d and \u201cMLACR,\u201d respectively. The offering is expected to close on December 16, 2024, subject to customary closing conditions. The Company has granted the underwriters a 45-day option to purchase up to an additional 3,150,000 units at the initial public offering price to cover over-allotments, if any.<\/p>\n<p>The Company is a blank check company formed for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses. The Company may pursue an initial business combination target in any business or industry or at any stage of its corporate evolution.
