The gross proceeds to CG Oncology from the offering, before deducting underwriting discounts and commissions and other offering expenses, are expected to be $204.4 million. CG Oncology will not receive proceeds from the sale of shares of its common stock by the selling stockholder. The offering is expected to close on\u00a0December 16, 2024, subject to the satisfaction of customary closing conditions.\u00a0In addition, CG Oncology has granted the underwriters a 30-day option to purchase up to an additional 1,200,000 shares of common stock at the public offering price, less underwriting discounts and commissions.<\/p>\n<p>Morgan Stanley &amp; Co.
