\nFG Merger Corp. (Nasdaq: FGMC), a special purpose acquisition company (\u201cFGMC<\/span><\/b>\u201d), today announced that it will adjourn FGMC\u2019s special meeting of shareholders (the \u201cSpecial Meeting<\/span><\/b>\u201d) scheduled to be held on August 11, 2023 at 10:00 am Eastern Time. The Special Meeting will be adjourned to August 18, 2023 at 10:00 a.m. Eastern Time. As previously announced, the Special Meeting will occur virtually via live webcast at https:\/\/www.cstproxy.com\/fgmerger\/2023<\/a>.<\/p>\n\nThe Special Meeting is being held to vote on the proposals described in FGMC\u2019s definitive proxy statement, filed with the Securities and Exchange Commission (the \u201cSEC<\/span><\/b>\u201d) on July 12, 2023, including approval of the Merger Agreement and Plan of Reorganization, dated as of January 5, 2023, by and among FGMC, FG Merger Sub Inc., a Nevada corporation and a direct, wholly-owned subsidiary of FGMC, and iCoreConnect Inc., a Nevada corporation (\u201ciCoreConnect<\/span><\/b>\u201d).<\/p>\n
\nThe redemption deadline will be postponed until August 16, 2023. If you are a public stockholder and you seek to have your shares of FGMC Common Stock redeemed, you must (i) demand, no later than 5:00 p.m., Eastern Time on August 16, 2023, that FGMC redeem your shares into cash; and (ii) submit your request in writing to Continental Stock Transfer & Trust Company (\u201cContinental<\/span><\/b>\u201d) at the address listed at the end of this section and deliver your shares to Continental physically or electronically using The Depository Trust Company\u2019s DWAC (Deposit\/Withdrawal at Custodian) System at least two (2) business days before the FGMC Special Meeting.<\/p>\n
\nThe record date for the determination of shareholders entitled to vote at the Special Meeting, including all adjournments thereof, remains July 11, 2023. The FGMC Board of Directors continues to recommend that shareholders vote in favor of the proposals.<\/p>\n
