(\u201cFLAG\u201d) (NYSE American: FLAG), a special purpose acquisition company, today announced that the U.S. Securities and Exchange Commission (the \u201cSEC\u201d) has declared effective FLAG\u2019s registration statement on Form S-4 (as amended to the date hereof, the \u201cRegistration Statement\u201d). The Registration Statement includes a proxy statement\/prospectus for the special meeting of the stockholders of FLAG in connection with its proposed combination with Calidi Biotherapeutics, Inc. (\u201cCalidi\u201d), a clinical-stage biotechnology company that is pioneering the development of allogeneic cell-based delivery of oncolytic viruses.<\/p>\n
