(\u201cCompany\u201d) (Nasdaq:MSVB), the holding company for Mid-Southern Savings Bank, FSB (\u201cBank\u201d), announced its voluntary decision to delist its common stock from The Nasdaq Stock Market LLC (\u201cNasdaq\u201d) and its intent to deregister its common stock with the Securities and Exchange Commission (\u201cSEC\u201d).<\/p>\n<p align=\"justify\">The Company has notified Nasdaq of its intent to voluntarily delist and withdraw the registration of its common stock with the SEC. The Company intends to file a Form\u00a025 (Notification of Removal from Listing) with the SEC on August\u00a014,\u00a02023, and expects the last trading day on Nasdaq will be on August\u00a014,\u00a02023. Following delisting from Nasdaq, the Company expects its common stock will be quoted on the OTCQX Market beginning on August\u00a015,\u00a02023 and expects to retain the symbol \u201cMSVB.\u201d<\/p>\n<p align=\"justify\">The Company also intends to file a Form\u00a015 (Certification and Notice of Termination From Registration) with the SEC on or about August\u00a024,\u00a02023. Upon filing, the Company\u2019s obligation to file periodic reports with the SEC, including Forms 10-K, 10-Q and 8-K, will be suspended immediately and will terminate when deregistration becomes effective 90\u00a0days after the Form\u00a015 is filed.<\/p>\n<p align=\"justify\">The Board of Directors\u2019 decision to delist and deregister the Company\u2019s common stock was based on the conclusion that the significant costs and regulatory compliance burden outweigh the benefits of remaining an SEC-reporting, Nasdaq-listed company.<\/p>\n<p align=\"justify\">The Company will continue to provide stockholders with an annual report containing audited consolidated financial statements, and quarterly interim financial information will be made available on the Company\u2019s website at <em>www.mid-southern.com<\/em>.
