The realizable value is at-risk equity and directly dependent upon the sustained performance of the Company\u2019s share price and, thus, aligned with the interest of shareholders.<\/p>\n<p>A summary of the material terms of Mr. Holt\u2019s equity incentive award is as follows:<\/p>\n<ul type=\"disc\">\n<li>Mr. Holt will be issued a one-time grant of stock options giving him the right to purchase up to 5,000,000 shares subject to performance-based vesting with share price hurdles ranging from $2.50 to $15.00. Upon achievement of each share price hurdle, a set number of shares are earned.<\/li>\n<li>For each share price hurdle to be achieved, the volume weighted average price of the shares over a 60-day calendar period must equal or exceed the applicable share price hurdle.<\/li>\n<li>Once a share price hurdle has been achieved, the earned option shares are subject to an additional five months of time-based vesting to further support sustained stock price appreciation.<\/li>\n<li>Mr. Holt has also agreed to purchase $300,000 worth of Amarin shares in the open market using personal funds.<\/li>\n<li>Additional details regarding Mr. Holt\u2019s executive compensation are included in his employment agreement with the Company, which will be subsequently filed with the U.S. Securities and Exchange Commission.<\/li>\n<\/ul>\n<p>\u201cMr. Holt\u2019s compensation addresses the long-standing frustration of shareholders who want executive compensation directly tied to the creation of shareholder value,\u201d said Odysseas Kostas, M.D., the Chairman of the Board. \u201cAs structured, none of Mr. Holt\u2019s options will vest if the stock price does not reach $2.50\/share.
