(NYSE:IQV) today announced that its wholly-owned subsidiary, IQVIA Inc. (the \u201cIssuer\u201d), priced an offering of $1,250,000,000 in aggregate principal amount of senior notes, which was upsized due to strong demand, consisting of $750,000,000 in aggregate principal amount of senior secured notes due 2028 (the \u201cSenior Secured Notes\u201d) and $500,000,000 in aggregate principal amount of senior notes due 2030 (the \u201cSenior Notes\u201d and, together with the Senior Secured Notes, the \u201cNotes\u201d). The proceeds from the Notes offering will be used to repay existing borrowings under the Issuer\u2019s revolving credit facility and to pay fees and expenses related to the Notes offering.<\/p>\n<p>\nThe Senior Secured Notes will bear interest at a rate of 5.700% per annum and will pay interest semi-annually in arrears on May 15 and November 15 of each year, beginning on November 15, 2023. The Senior Secured Notes will mature on May 15, 2028, unless earlier repurchased or redeemed in accordance with their terms. The Senior Notes will bear interest at a rate of 6.500% per annum and will pay interest semi-annually in arrears on May 15 and November 15 of each year, beginning on November 15, 2023. The Senior Notes will mature on May 15, 2030, unless earlier repurchased or redeemed in accordance with their terms.
