The Notes will be fully and unconditionally guaranteed by the Company\u2019s subsidiaries that are obligors under each series of its existing notes. The Company intends to use the net proceeds from the offering of the Notes to repay a portion of the outstanding borrowings under the Company\u2019s revolving credit facility.
