The initiative, developed with advocacy groups, clinicians, and patients, serves to bring broader attention to this rare and underserved ovarian cancer.<\/p>\n<\/li>\n<\/ul>\n<p><b>Other Programs<\/b><\/p>\n<ul class=\"bwlistdisc\">\n<li>\nIn the Company\u2019s RAMP 203 and RAMP 204 Phase 1\/2 clinical trials, the combinations of avutometinib with Amgen\u2019s LUMAKRAS\u00ae (sotorasib) (RAMP 203) and with Mirati\u2019s KRAZATI\u00ae (adagrasib) (RAMP 204) are evaluated in patients with KRAS G12C mutant NSCLC. RAMP 203 progressed to the recommendation of the Phase 2 dose (avutometinib 4 mg BIW PO and sotorasib 960 mg QD PO) and initiation of Part B dose expansion in patients who are G12C inhibitor treatment na\u00efve and in patients who experienced disease progression on prior G12C inhibitor monotherapy. Dose escalation is ongoing in RAMP 204.<\/p>\n<\/li>\n<\/ul>\n<ul class=\"bwlistdisc\">\n<li>\nOpened and began enrollment in the Company\u2019s RAMP 205 Phase 1b\/2 clinical trial evaluating avutometinib and defactinib in combination with standard of care chemotherapy (GEMZAR\u00ae (gemcitabine) and ABRAXANE\u00ae) in patients with metastatic adenocarcinoma of the pancreas. The other trial, investigating the single-dose brain penetration of either avutometinib or defactinib in glioblastoma patients who are undergoing debulking surgery being conducted by Dr Jeffrey Olson at Emory University.<\/p>\n<\/li>\n<\/ul>\n<p><i><b>Corporate Updates<\/b><\/i><\/p>\n<ul class=\"bwlistdisc\">\n<li>\nThe Company entered into a definitive agreement to sell up to approximately 2.1 million shares of its Series B convertible preferred stock to affiliates of BVF Partners L.P. in a private placement to raise aggregate gross proceeds of up to approximately $60 million in two tranches. On January 27, 2023, Verastem Oncology closed on the initial tranche of 1.2 million shares of its Series B convertible preferred stock and received gross proceeds of $30 million.<\/p>\n<\/li>\n<\/ul>\n<ul class=\"bwlistdisc\">\n<li>\nThe Company achieved the Term B Milestone pursuant to its credit facility with Oxford Finance LLC and drew down an additional $15 million in March 2023. Under the credit facility, Verastem can access up to an additional $110 million in a series of tranches, $60 million of which are based on certain pre-determined milestones and $50 million of which are at the lender\u2019s discretion.<\/p>\n<\/li>\n<\/ul>\n<p><b>First Quarter 2023 Financial Results<\/b><\/p>\n<p>\nVerastem Oncology ended the first quarter of 2023 with cash, cash equivalents and investments of $111.2 million.<\/p>\n<p>\nTotal operating expenses for the three months ended March 31, 2023 (the \u201c2023 Quarter\u201d) were $19.3 million, compared to $19.6 million for the three months ended March 31, 2022 (the \u201c2022 Quarter\u201d).<\/p>\n<p>\nResearch &amp; development expenses for the 2023 Quarter were $12.0 million, compared to $13.6 million for the 2022 Quarter. The decrease of $1.6 million, or 11.8%, primarily resulted from a decrease in drug product and drug substance costs, contract research organization costs, and investigator fees.<\/p>\n<p>\nSelling, general &amp; administrative expenses for the 2023 Quarter were $7.3 million, compared to $5.9 million for the 2022 Quarter. The increase of $1.4 million, or 23.7%, was primarily related to increased costs associated with financing activities, and additional costs in anticipation of potential launch of avutometinib and defactinib in LGSOC.<\/p>\n<p>\nNet loss for the 2023 Quarter was $15.7 million, or $0.08 per share (basic and diluted), compared to net loss of $17.0 million, or $0.09 per share (basic and diluted) for the 2022 Quarter.<\/p>\n<p>\nFor the 2023 Quarter, non-GAAP adjusted net loss was $17.8 million, or $0.09 per share (diluted), compared to non-GAAP adjusted net loss of $15.3 million, or $0.08 per share (diluted) for the 2022 Quarter.
