\nTravelCenters of America Inc. (Nasdaq: TA) today announced that leading independent proxy advisory firms Institutional Shareholder Services (\u201cISS\u201d) and Glass Lewis & Co. (\u201cGlass Lewis\u201d) have recommended that TA shareholders vote \u201cFOR<\/b>\u201d the previously announced all-cash acquisition of TA by BP Products North America Inc. (\u201cBP\u201d) in advance of TA\u2019s upcoming Special Meeting of Shareholders scheduled for May 10, 2023. As previously announced, under the terms of the pending transaction, BP will acquire all of the outstanding shares of TA common stock for $86.00 per share in cash.<\/p>\n

\nTA shareholders of record as of the close of business on March 23, 2023, are eligible to vote on the pending transaction and are encouraged to do so as soon as possible. Subject to shareholder approval, the transaction is expected to close on May 15, 2023.<\/p>\n

\nThe $86.00 transaction price represents an 84% premium to TA\u2019s average trading price of $46.68 over the 30 days ended February 15, 2023, the date the BP merger agreement was signed. The total equity value of the transaction is approximately $1.3 billion.<\/p>\n

The TA Board of Directors unanimously recommends TA shareholders to vote \u201cFOR\u201d all proposals, including following ISS and Glass Lewis\u2019 recommendations by voting \u201cFOR\u201d the proposal to approve the merger.<\/span><\/b><\/p>\n\n\n\n\n\n\n\n\n\n\n\n
