WILMINGTON, Del., April 25, 2023 (GLOBE NEWSWIRE) — RF Acquisition Corp. (NASDAQ: RFACU, RFAC, RFACW, RFACR) (the \u201cCompany<\/u>\u201d) announced today that on April 19, 2023 it received a notice (\u201cNotice<\/u>\u201d) from the Listing Qualifications Department of The Nasdaq Stock Market (\u201cNasdaq<\/u>\u201d) stating that the Company is not in compliance with Nasdaq Listing Rule 5250(c)(1) (the \u201cRule<\/u>\u201d) because the Company failed to timely file its Annual Report on Form 10-K for the period ended December 31, 2022 (the \u201cForm 10-K<\/u>\u201d) with the Securities and Exchange Commission. The Notice has no immediate effect on the listing or trading of the Company\u2019s securities on Nasdaq.<\/p>\n

Under Nasdaq rules, the Company has 60 calendar days to submit a plan to regain compliance with the Rule. If Nasdaq accepts the Company\u2019s plan, then Nasdaq may grant an exception of up to 180 calendar days from the due date of the Form 10-K, or until October 16, 2023, to regain compliance.<\/p>\n
