Executive Severance and Change in Control Plan (\u201cPlan\u201d), as described in Form 8-K filed by the Company on April 20, 2023, the Board, upon the recommendation of the Compensation Committee, approved a one-time, immediately vested grant of Company common stock to Mr. Foster.
