The consummation of the transactions contemplated by the Purchase Agreement (the \u201c<u>Closing<\/u>\u201d)\u00a0is expected to take place at 10:00 am, New York time, on or before April 28, 2023.<\/p>\n<p align=\"justify\">\n        <strong>Business Combination Extension<\/strong>\n      <\/p>\n<p align=\"justify\">The date by which the Company has to complete its business combination has been extended by the Company from April 23, 2023 to May 23, 2023 (the \u201c<u>Extension<\/u>\u201d) by depositing $57,380.22 into the trust account for its public stockholders.
