(NASDAQ: RVYL) (“RYVYL\u201d or the “Company”), a company that leverages the security of the blockchain and USD-pegged stablecoin technology with near-real-time attestation to conduct payment transactions, today announced it has initiated a spin-off plan for our wholly-owned subsidiary coyni inc., the Company\u2019s stablecoin technology, that will assist in the broad value creation strategy by means of a special dividend to be paid following the anticipated completion of the spin-off.<\/p>\n

As previously discussed in a July 2021 press release<\/a>, the Company believes the separation of coyni from the Company\u2019s payment processing business will allow each business to better focus on its own strategic and operational objectives. RYVYL and coyni intend to maintain a strong relationship moving forward. The Company has identified and expects to acquire the vehicle in the coming weeks to proceed with the planned spin-off into a publicly traded company. The Company has also identified the investment banking team for the proposed transaction and is in the process of evaluating mergers with possible partners.<\/p>\n
