\n , 2023 <\/strong>\u2013 ObsEva SA (NASDAQ: OBSV; SIX: OBSN), <\/strong>a biopharmaceutical company developing and commercializing novel therapies for women\u2019s health, today announced that it received a notification letter from The Nasdaq Stock Market LLC (\u201cNasdaq\u201d) on March 14, 2023, advising the Company that its securities are scheduled for delisting from The Nasdaq Capital Market and will be suspended at the opening of U.S. business on March 23, 2023. A Form 25-NSE will be filed with the Securities and Exchange Commission (the \u201cSEC\u201d), which will remove the Company\u2019s securities from listing and registration on Nasdaq.<\/p>\n

As previously announced, the Company received a notification letter on September 12, 2022 from Nasdaq advising it that it was not in compliance with Listing Rule 5450(a)(1) (the \u201cRule\u201d) because, for a period of thirty (30) consecutive business days, the bid price of ObsEva\u2019s common shares had closed below the minimum $1.00 per share requirement for continued listing. The Company was provided 180 calendar days, or until March 13, 2023, to regain compliance with the Rule. The Company has not regained compliance by this deadline.<\/p>\n

Upon delisting of ObsEva\u2019s common shares from the Nasdaq Capital Market, the Company intends to file with the SEC a Form 15 requesting deregistration of its securities under the U.S. Securities Exchange Act of 1934, as amended (the \u201cExchange Act\u201d), and to suspend its obligation to file periodic reports under the Exchange Act, including annual, quarterly and current reports on Form 10-K, Form 10-Q and Form 8-K, respectively, once certain conditions to deregistration are satisfied, including the Company having fewer than 300 record holders of its common shares. The Company expects the Nasdaq delisting and SEC deregistration to contribute to lower general and administrative costs in the future.<\/p>\n

ObsEva intends to maintain its SIX Swiss Exchange listing where all common shares may continue to trade under the ticker symbol \u201cOBSN\u201d.<\/p>\n
