Deckoff as an independent Class III director at the Company\u2019s 2023 Annual Meeting of Stockholders (the \u201c2023 Annual Meeting\u201d), subject to certain conditions. Mr. Deckoff will begin serving as a non-voting observer of the Company\u2019s Board of Directors (the \u201cBoard\u201d). Additionally, the Company has granted Black Diamond a waiver under the Company\u2019s stockholder rights plan allowing Black Diamond to acquire up to 25% of the Company\u2019s outstanding common stock.<\/p>\n<p align=\"justify\">\u201cWe welcome Stephen to the Board and are pleased to have reached this agreement with one of our largest shareholders,\u201d said Brent C.
