The True-Up Option was granted pursuant to the employment agreement, dated as of February 25, 2022, between Jasper and Mr. Martell, which provided that if Jasper closed an equity financing of at least $50 million, then promptly following the closing of such financing, and subject to approval by the Board of Directors of the Company or the Compensation Committee thereof, Mr. Martell would be granted an option to purchase 1.0% of the outstanding shares of the Company\u2019s common stock. As previously announced, on January 27, 2023, Jasper consummated an underwritten public offering of 69,000,000 shares of its common stock, at a public offering price of $1.50, for gross proceeds from such offering of approximately $103.5 million, before deducting underwriting discounts and commissions and other offering expenses payable by Jasper, satisfying the criteria for granting the True-Up Option.
