There were approximately 14.7 million unaffiliated Class A shares outstanding on the record date.<\/p>\n<p align=\"left\">Under the terms of the transaction, holders of PZN Class A common stock will receive $9.60 per share in cash following the closing of the transaction.<\/p>\n<p align=\"left\">The transaction is expected to close on October 31, 2022, subject to the satisfaction of all remaining closing conditions.
