The Notes will be guaranteed on a senior unsecured basis by the Company.\n<\/p>\n<p>\nThe offering is expected to close on August 6, 2021, subject to the satisfaction of customary closing conditions. The net proceeds from the offering are expected to be used to repay all of TCIL\u2019s outstanding institutional notes.
