All of the shares of common stock are being offered by Absci. The gross proceeds from the offering, before deducting underwriting discounts and commissions and other offering expenses payable by Absci, are expected to be $200.0 million, excluding any exercise of the underwriters\u2019 option to purchase additional shares. Absci\u2019s common stock is expected to begin trading on the Nasdaq Global Select Market on July 22, 2021, under the ticker symbol \u201cABSI.\u201d The offering is expected to close on July 26, 2021, subject to the satisfaction of customary closing conditions.
