The Company sold 18,750,000 shares of its common stock and the selling stockholder named in the prospectus sold 1,562,500 shares of common stock, at a price of $16.00 per share. The Company and the selling stockholder have granted the underwriters a 30 day option to purchase up to an additional 3,046,875 shares of common stock. The shares began trading on the New York Stock Exchange on July 15, 2021 under the symbol \u201cFXLV.\u201d F45 received net proceeds from the offering of approximately $279.0 million, after deducting underwriting discounts and commissions.\n<\/p>\n

\nGoldman Sachs & Co. LLC and J.P. Morgan Securities LLC acted as joint leading book-running managers and representatives of the underwriters for the offering. Robert W. Baird & Co.
