\n NEW YORK<\/span>, June 29, 2021<\/span> \/PRNewswire\/ —\u00a0CLEAR Secure, Inc. (“CLEAR”) today announced the pricing of its initial public offering of 13,200,000 shares of its Class A common stock at an initial offering price of $31.00<\/span> per share. CLEAR has granted the underwriters a 30-day option to purchase up to an additional 1,980,000 shares of Class A common stock at the initial public offering price, less underwriting discounts and commissions. The shares are expected to trade on the New York Stock Exchange under the symbol “YOU” on June 30, 2021<\/span>. <\/p>\n

CLEAR expects the gross proceeds of the offering to be approximately $409.2 million<\/span>, before deducting underwriting discounts and commissions, or $470.6 million<\/span> if the underwriters exercise their option to purchase additional shares in full. CLEAR intends to contribute the net proceeds from the offering to Alclear Holdings, LLC (“Alclear”) in exchange for a number of Alclear non-voting common units equal to the number of shares of Class A common stock CLEAR issues in the offering, and to cause Alclear to use such contributed amount to pay offering expenses and for general corporate purposes. The offering is expected to close on July 2, 2021<\/span>, subject to customary closing conditions.<\/p>\n
