WALNUT CREEK, Calif.–(BUSINESS WIRE<\/a>)–
\nCentral Garden & Pet Company (NASDAQ: CENT, CENTA) (\u201cCentral\u201d), announced today it has priced a private placement of $400 million aggregate principal amount of 4.125% senior notes due 2031 (the \u201cNotes\u201d). The sale of the Notes is expected to close on April 30, 2021, subject to customary closing conditions. The Notes will be unconditionally guaranteed on a senior basis by each of Central\u2019s existing and future domestic restricted subsidiaries which are borrowers under or guarantors of Central\u2019s senior secured revolving credit facility or guarantee Central\u2019s other debt. Central intends to use the net proceeds from the offering to repay outstanding amounts under its senior secured revolving credit facility and for general corporate purposes.\n<\/p>\n

\nThe Notes have not been, and will not be, registered under the Securities Act of 1933, as amended (the \u201cSecurities Act\u201d), or any state securities laws, and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
