(the \u201cIssuer\u201d) priced $750 million in aggregate principal amount of 4.0% senior notes due 2029 (the \u201cNotes\u201d) in a private offering that is exempt from registration under the Securities Act of 1933, as amended (the \u201cSecurities Act\u201d). The Notes were priced at par. The closing of the offering is expected to occur on March 29, 2021, subject to customary closing conditions.\n<\/p>\n<p>\nThe Notes will be guaranteed on a senior unsecured basis by each of the Issuer\u2019s wholly owned subsidiaries that is the borrower or a guarantor under Sensata\u2019s senior credit facilities and the issuer or a guarantor under Sensata\u2019s outstanding series of existing notes. The Notes and the guarantees will be the Issuer\u2019s and the guarantors\u2019 senior unsecured obligations and will rank equally in right of payment to all existing and future senior unsecured indebtedness of the Issuer or the guarantors, respectively, including the senior credit facilities and outstanding series of existing notes. The Notes and the guarantees will be senior to all of the Issuer\u2019s and the guarantors\u2019 future indebtedness that is expressly subordinated to the Notes and the guarantees. The Notes and the guarantees will be effectively junior to the Issuer\u2019s and the guarantors\u2019 existing and future secured indebtedness to the extent of the value of the assets securing such indebtedness, including indebtedness under the senior credit facilities, and will be structurally subordinated to all of the existing and future obligations of any of the Issuer\u2019s subsidiaries that do not guarantee the Notes.\n<\/p>\n<p>\nSensata Technologies intends to use the net proceeds from the offering of the Notes for general corporate purposes, which may include working capital, capital expenditures, the acquisition of other companies, businesses or assets, strategic investments, the refinancing or repayment of debt, and share repurchases.\n<\/p>\n<p>\nThe Notes and the related guarantees will be offered only to persons reasonably believed to be \u201cqualified institutional buyers\u201d in reliance on the exemption from registration provided by Rule 144A under the Securities Act and to non-U.S. persons outside of the United States in compliance with Regulation S under the Securities Act.
