The dissolution is one of the final steps of the wind-up of the Company pursuant to Article 155 of the <em>Companies (Jersey) Law 1991<\/em> on a just and equitable basis (the \u201c<strong>Just and Equitable Wind-Up<\/strong>\u201d) and the Company\u2019s plan of arrangement with its secured creditors under the <em>Companies\u2019 Creditors Arrangement Act<\/em> (the \u201c<strong>CCAA<\/strong>\u201d) that was approved by the Ontario Superior Court of Justice (Commercial List) (the \u201c<strong>Court<\/strong>\u201d) and became effective as of July 6, 2020 (the \u201c<strong>Plan<\/strong>\u201d). The dissolution of the Company will become effective once the Dissolution Order is filed with the company registrar in Jersey, which will occur following payment of any remaining expenses incurred in the Just and Equitable Wind-Up of the Company from the Post Implementation Date Expenses Reserve (as defined in the Plan) and the return of the balance of any remaining funds to Lydian Armenia CJSC. Once the dissolution is complete, it is expected that the court-appointed monitor, Alvarez &amp; Marsal Canada Inc.
