(“New Oriental” or the “Company”) (NYSE: EDU and SEHK: 9901), the largest provider of private educational services in China<\/span>, today announced that that each of the following proposed resolutions submitted for shareholder approval have been adopted at its extraordinary general meeting of shareholders held in Beijing<\/span> today: <\/p>\n

  1. as an ordinary resolution, THAT effective as of March 10, 2021<\/span>, each common share (whether issued or unissued) of par value of US$0.01<\/span> each in the share capital of the Company be, subdivided into ten common shares, with a par value of US$0.001<\/span> each, such that following such subdivision, the authorized share capital of the Company shall be US$3,000,000<\/span> divided into 3,000,000,000 shares with a par value of US$0.001<\/span> each; <\/li>\n
  2. as a special resolution, THAT subject to the dual foreign name “\u65b0\u4e1c\u65b9\u6559\u80b2\u79d1\u6280\uff08\u96c6\u56e2\uff09\u6709\u9650\u516c\u53f8<\/span>” being entered in the Register of Companies by the Registrar of Companies in the Cayman Islands<\/span>, the Chinese name “\u65b0\u4e1c\u65b9\u6559\u80b2\u79d1\u6280\uff08\u96c6\u56e2\uff09\u6709\u9650\u516c\u53f8<\/span>” be adopted as the dual foreign name of the Company; <\/li>\n
