The Offering will be made only by means of a prospectus, and this announcement does not constitute an offer to sell, or a solicitation of an offer to buy, any of the Fund\u2019s securities.\n<\/p>\n<p>\nSUMMARY OF THE TERMS OF THE OFFERING\n<\/p>\n<ul class=\"bwlistdisc\">\n<li>\nEach shareholder will receive one transferable right (the \u201cRight\u201d) for each common share held on the record date (March 11, 2021).\n<\/li>\n<\/ul>\n<ul class=\"bwlistdisc\">\n<li>\nSeven Rights plus $5.50 (the \u201cSubscription Price\u201d) will be required to purchase one additional common share (the \u201cPrimary Subscription\u201d). The purchase price will be payable in cash.\n<\/li>\n<\/ul>\n<ul class=\"bwlistdisc\">\n<li>\nRecord date shareholders who fully exercise their Primary Subscription Rights will be eligible for an over-subscription privilege entitling these shareholders to subscribe, subject to certain limitations and a pro-rata allotment, for any additional common shares not purchased pursuant to the Primary Subscription. <i>Rights acquired in the secondary market may not participate in the over-subscription privilege.<\/i><\/li>\n<\/ul>\n<ul class=\"bwlistdisc\">\n<li>\nThe Rights are expected to trade \u201cwhen issued\u201d on the New York Stock Exchange beginning on March 9, 2021, and the Fund\u2019s common shares are expected to trade \u201cEx-Rights\u201d on the New York Stock Exchange beginning on March 10 2021.
