\n Change in Board\u00a0of Directors<\/b>\n <\/p>\n

The Board has nominated and appointed Mr.\u00a0Jian Liu\u00a0(“Mr. Liu”),<\/span> Fang’s chief executive officer<\/span>,\u00a0as a director of the Board, effective from<\/span> January 19,\u00a02021. Ms.\u00a0Zhizhi Gong (“Ms. Gong”),<\/span> a director of the Board,\u00a0has resigned from the\u00a0Board,<\/span> effective from<\/span>January 19<\/span>, 2021.\u00a0Ms. Gong’s\u00a0resignation did not result from any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Fang thanks\u00a0Ms. Gong\u00a0for her efforts and contributions to the Company.<\/p>\n

Upon the effectiveness of\u00a0Mr. Liu’s\u00a0appointment and Ms. Gong’s resignation, the Board will consist of five directors, including three independent directors.<\/p>\n

Mr.\u00a0Shihang Dong\u00a0\u00a0(“Mr. Dong”)<\/span>\u00a0has been appointed as Fang’s president <\/span>to replace Mr.\u00a0Liu<\/span>, effective\u00a0from<\/span>January 19<\/span>, 2021.\u00a0Mr. Liu will continue to serve as the chief executive officer<\/span> in charge of the general management of the Company<\/span>. <\/p>\n

Mr. Dong joined Fang in 2014 and has since accumulated extensive experience in the Company. In particular, Mr. Dong has served as<\/span> the vice president of the Company<\/span> and the general manager of the Company’s new home business in 2019 and 2020, respectively. <\/p>\n

\n Appointment of New Acting Chief Financial Officer<\/span><\/u><\/i><\/u>
\n <\/i>\n <\/p>\n

Mr.\u00a0Peng Cui (“Mr. Cui”)<\/span>\u00a0has been appointed as Fang’s acting chief financial officer<\/span> to replace Mr.\u00a0Ke Wang (“Mr. Wang”),<\/span> effective\u00a0from<\/span>January 19<\/span>, 2021.\u00a0Mr. Wang\u00a0has resigned from the Company<\/span> for personal reasons. His resignation did not result from any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Fang thanks\u00a0Mr. Wang\u00a0for his efforts and contributions to the Company.\u00a0<\/p>\n

\n Mr. Cui has served as the deputy general manager of the capital market department of Fang since May 2020<\/span>. Prior to joining the Company,<\/span> Mr. Cui served in the assurance department of PricewaterhouseCoopers LLP San Francisco Office from January 2019<\/span> to February 2020<\/span>. From December 2018<\/span> to December 2019<\/span>,<\/span> Mr. Cui served as a senior consultant in the transaction advisory service department of Ernst & Young (China<\/span>) Advisory Ltd. From August 2017<\/span> to December 2018<\/span>, Mr. Cui served as a finance manager at UBS (China<\/span>) Limited. From October 2012<\/span> to July 2017<\/span>, Mr. Cui served at multiple positions, including the last position as a senior assurance associate, at PricewaterhouseCoopers Zhongtian LLP. Mr. Cui received his bachelor’s degree in economics from Tianjin<\/span> University of Science and Technology in 2007, and a master’s degree in business administration from the San Francisco State University<\/span> in 2011. Mr. Cui is a regular member of the American Institute of Certified Public Accountants.<\/span><\/p>\n
