\n NAPLES, Fla.<\/span>, Jan. 12, 2021<\/span> \/PRNewswire\/ —\u00a0Enveric Biosciences Inc. (NASDAQ: ENVB), a patient-first biotechnology company developing novel cannabinoid medicines to improve quality of life for cancer patients, today announced that it has entered into definitive agreements with several institutional and accredited investors for the purchase and sale of 2,221,358 shares of Enveric’s common stock and common stock equivalents, at a purchase price of\u00a0$4.5018 per share, in a registered direct offering priced at-the-market under Nasdaq rules. \u00a0Enveric has also agreed to issue to the investors unregistered warrants to acquire 1,666,019 shares of Common Stock at $4.9519<\/span> per share, exercisable immediately and terminating five years after the date of issuance.\u00a0 The closing of the offering is expected to occur on or about\u00a0January 14th, 2021, subject to the satisfaction of customary closing conditions.<\/p>\n

The gross proceeds to Enveric from this offering are expected to be approximately $10 million<\/span>, before deducting advisory and other offering expenses. \u00a0Enveric intends to use the net proceeds from this offering for working capital and general corporate purposes.\u00a0<\/p>\n
