The warrants have an exercise price of $2.50 per share of common stock, are exercisable immediately, and expire five years from the date of issuance. Venus Concept intends to use the gross proceeds of approximately $22.5 million, before deducting underwriting discounts and commissions and estimated offering expenses, from the offering for general corporate purposes, including the funding of research and development activities.<\/p>\n<p align=\"justify\">Oppenheimer &amp; Co. Inc. is acting as sole book-running manager and Ladenburg Thalmann &amp; Co.
