On December 7, 2020, SEACOR announced that it had entered into a definitive agreement with an affiliate of American Industrial Partners (\u201cAIP\u201d) to take the company private. Under the terms of the agreement, AIP plans to commence a tender offer to acquire all of the outstanding shares of SEACOR common stock for $41.50 per share in cash. Following the closing of the transaction, SEACOR\u2019s shares will no longer be publicly traded.\u00a0<\/p>\n

The investigation seeks to determine whether SEACOR\u2019s officers and\/or directors have violated the securities laws in connection with the agreement to sell the company to AIP at $41.50 per share.
