(TSX-V: BRU.H) <\/strong>(\u201cBrunswick<\/strong>\u201d or the \u201cCorporation<\/strong>\u201d) is pleased to announce that further to its November 17, 2020, news release, the Corporation has received TSX Venture Exchange (the \u201cExchange\u201d) conditional acceptance and has closed its bridge financing (the \u201cBridge Financing\u201d), representing the funds needed to fund the Corporation as it works to satisfy the closing conditions for the reverse takeover transaction with Poko Goup Ltd. (the \u201cProposed Transaction<\/strong>\u201d).<\/p>\n

The Bridge Financing consists of the issuance of 7,262,844 common shares in the capital of Brunswick at a price of C$0.019 per share for aggregate gross proceeds of C$137,975.<\/p>\n

All securities issued under the Bridge Financing are subject to a four month hold period, expiring April 12, 2021.<\/p>\n

The Corporation also confirms that it will complete the proposed consolidation (the \u201cConsolidation<\/strong>\u201d) of its issued and outstanding common shares, on the basis of one new common share for every five (5) common shares of Brunswick issued and outstanding on the effective date of the Consolidation, notwithstanding the completion of the Proposed Transaction.<\/p>\n
