OTTAWA, Dec. 14, 2020 (GLOBE NEWSWIRE) — HEXO Corp. (\u201cHEXO<\/strong>\u201d or the \u201cCompany<\/strong>\u201d)\u00a0(TSX: HEXO;\u00a0NYSE:HEXO)\u00a0is pleased to announce the results of its annual and special meeting of shareholders held on\u00a0December 11,\u00a02020\u00a0by virtual webcast (the \u201c\u2019Meeting<\/strong>\u201d).<\/p>\n

All items put forth at the Meeting were approved. The re-election of Vincent Chiara, Jason Ewart, \u00a0Emilio Imbriglio,\u00a0 Adam Miron,\u00a0Dr.\u00a0Michael\u00a0Munzar\u00a0and S\u00e9bastien St-Louis as directors of the Company, to hold office until the next annual meeting of shareholders or until their successors are elected or appointed, and the\u00a0reappointment of PricewaterhouseCoopers LLP as auditors of the Company for the ensuing year, were approved at the Meeting, all with\u00a0a majority of\u00a0the votes cast.<\/p>\n

The consolidation of the outstanding common shares of the Company (\u201cCommon Shares<\/strong>\u201d) on the basis of four (4) old Common Shares for one (1) new Common Share proposed by the Company was also approved at the Meeting by special resolution (the \u201cConsolidation<\/strong>\u201d). The Consolidation remains subject to the approval of the Toronto Stock Exchange and the New York Stock exchange. Assuming the receipt of all approvals required for the Consolidation, it is expected the Consolidation will be implemented in the near future. The Company will announce further details with respect to the implementation of the Consolidation once all required approvals have been obtained.<\/p>\n
