(TSXV: VENZ) (“Venzee” or the “Company”) is pleased to announce that, due to increased investor support, the Company has increased the size of its previously announced $1.5 million<\/span> private placement (the “Offering”) and will now issue up to 36.363 million units (each a “Unit”), for gross proceeds of up to $2 million<\/span>.<\/p>\n

\n <\/a>\n <\/p>\n<\/p><\/div>\n

With respect to the private placement, each Unit is comprised of one common share (a “Share”) of the Company and one common share purchase warrant (a “Warrant”), with each Warrant being exercisable for one common share at an exercise price of $0.11<\/span> per common share at any time up to 36 months following the closing date of the private placement.\u00a0 The warrants are also subject to acceleration in the event the volume-weighted average trading price of the common shares on the TSX Venture Exchange (TSX-V) is equal to or greater than $0.20<\/span> for a period of 10 consecutive trading days.\u00a0 In such case, the Company may, but shall have no obligation to, accelerate the expiry time of the warrants to a date that is 30 days following the date of issuance of a press release by Venzee announcing its intention to accelerate the expiry time.<\/p>\n

In connection with the private placement, the Company has agreed to pay finders’ fees to certain registered brokerage firms, comprising of cash payment equal to 7% of the gross proceeds raised by purchasers introduced by such brokers, and in the issuance of non-transferable broker units equal to 7% of the number of units purchased by purchasers introduced by such brokers.\u00a0 Such broker units will be issued on substantially the same terms and conditions as the Warrants.<\/p>\n
