The CAPS\u2122 will be listed on the New York Stock Exchange and trade under the ticker symbol \u201cPCPC.U\u201d beginning December 10, 2020. Each CAPS\u2122 consists of one share of Class A common stock of the Company and one-quarter of one warrant. Each whole warrant entitles the holder thereof to purchase one share of Class A common stock of the Company at a price of $28.75 per share. Once the securities comprising the CAPS\u2122 begin separate trading, the shares of Class A common stock and warrants are expected to be listed on the New York Stock Exchange under the symbols \u201cPCPC\u201d and \u201cPCPC WS,\u201d respectively.\n<\/p>\n<p>\nThe offering is expected to close on December 14, 2020, subject to customary closing conditions.\n<\/p>\n<p>\nEvercore Group L.L.C. is acting as the sole book-running manager for the offering.
