(NYSE: TPRE) (&#8220;Third Point Re&#8221;), a specialty reinsurer, and Sirius International Insurance Group, Ltd. (Nasdaq: SG) (&#8220;Sirius Group&#8221;), a global multi-line insurer and reinsurer, announced\u00a0that at their respective special general meetings of shareholders held on <span class=\"xn-chron\">November 23, 2020<\/span>, Third Point Re and Sirius Group shareholders voted to approve all proposals required to complete the combination of Third Point Re and Sirius Group pursuant to the previously announced Agreement and Plan of Merger, dated as of <span class=\"xn-chron\">August 6, 2020<\/span> (the &#8220;Merger Agreement&#8221;), by and among Third Point Re, Sirius Group and Yoga Merger Sub Limited.<\/p>\n<p>\n        <span class=\"xn-person\">Dan Malloy<\/span>, Third Point Re&#8217;s CEO, stated, &#8220;We are very pleased that shareholders have approved the merger, the associated <span class=\"xn-person\">Dan Loeb<\/span> equity issuance, and seven of eight of the proposed bye-law changes. These approvals keep us on track to close the transaction in line with the previously announced target of the first quarter of 2021.&#8221;<\/p>\n<p>At the Third Point Re special general meeting, the Third Point Re shareholders approved a number of proposals relating to the transaction, including:<\/p>\n<ul type=\"disc\">\n<li>the issuance of Third Point Re common shares to Sirius Group shareholders in connection with the closing of the transaction; <\/li>\n<li>the issuance of Third Point Re common shares to <span class=\"xn-person\">Daniel S. Loeb<\/span> pursuant to an equity commitment letter; <\/li>\n<li>amendments to Third Point Re&#8217;s Amended &amp; Restated Bye-laws (the &#8220;Bye-laws&#8221;); and <\/li>\n<li>the change of Third Point Re&#8217;s name to &#8220;SiriusPoint Ltd.&#8221; upon consummation of the transaction.<\/li>\n<\/ul>\n<p>The only proposal that Third Point Re shareholders did not approve related to amending the Bye-laws to remove the requirement that certain historical investors consent to amendments to the Bye-laws that have a material adverse effect on that investor. While this proposal received an affirmative vote from a majority of all outstanding Third Point Re shares, it did not meet the required threshold of 66.67% of all outstanding Third Point Re shares.
